Terms of Service

1. Acceptance
By creating an EmiCard account, downloading the EmiCard iOS app, or otherwise using emicard.app or any feature provided by EmiCard (collectively, the "Service"), you ("you", "your") agree to be bound by these Terms of Service ("Terms"). If you don't agree, don't use the Service.
2. The Service
EmiCard helps you store loyalty / membership cards, share them with people you trust, and sync them across your devices. The Service consists of the iOS app, the web app at emicard.app, and supporting APIs. Some features are free; some may require a paid subscription ("Plus") once we make Plus available.
3. Eligibility
You must be at least 13 years old (or 16 in the European Economic Area) to use EmiCard. If you're using EmiCard on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. Accounts
EmiCard supports anonymous (guest) sessions and authenticated accounts via Apple Sign-In, Google Sign-In, and email magic-link. We don't store passwords. You are responsible for maintaining the security of any device on which you're signed in. Notify us immediately at support@emicard.app if you suspect your account has been compromised.
5. Acceptable use
You agree not to:
- Scrape, crawl, or otherwise programmatically extract data from the Service.
- Impersonate another person or attempt to misrepresent your identity.
- Save, display, or share loyalty cards that you do not lawfully hold or that you obtained by fraud.
- Use the share-link feature to distribute illegal content, spam, malware, or material that infringes anyone's rights.
- Attempt to access another user's data, bypass our access controls, or probe for vulnerabilities (except via our security-disclosure channel).
- Reverse-engineer, decompile, or disassemble the iOS app except to the limited extent permitted by applicable law.
- Use the Service in a way that violates any applicable law or regulation.
We may suspend or terminate accounts that violate these rules. Where possible we'll warn first, but for serious or repeated violations we may act immediately and at our sole discretion.
6. Your content
You retain all rights to the data you upload to EmiCard — your card details, your group/folder organisation, your friend list. By using the Service, you grant EmiCard a worldwide, non-exclusive, royalty-free license to host, store, transmit, encrypt, decrypt, back up, and display your data to you (and to people you choose to share a card with) solely for the purpose of providing the Service. We claim no other right to your data.
7. Cards, barcodes, and merchant relationships
EmiCard does not validate, verify, or guarantee that any card number stored in the Service grants any benefit at any merchant.Loyalty programs are operated by their respective merchants (the "Issuers"), not by EmiCard. We have no control over: whether a stored card number is currently active, whether a discount or reward will be honored, whether an Issuer chooses to terminate a program, or whether a barcode is scannable on any particular point-of-sale system. You are solely responsible for verifying with each Issuer that your card is valid and that the rewards you expect are indeed available.
8. Sharing
Share links generated by EmiCard are short, opaque slugs (e.g. /abc12defg). Anyone who has a share link can read the shared card without authenticating. Treat share links like passwords: don't post them publicly, don't paste them into unsecured channels, and revoke any link you no longer want active from inside the app. EmiCard is not liable for the consequences of a share link being seen by someone you didn't intend.
9. Third-party services
EmiCard integrates with services operated by Apple Inc. (Sign in with Apple, iCloud), Google LLC (Sign in with Google), Supabase Inc. (database, authentication), and Vercel Inc. (hosting). Your use of those services is governed by their own terms and privacy policies. EmiCard accepts no liability for outages, behavior changes, fee changes, or data-handling decisions made by these third parties.
10. Termination
You may delete your EmiCard account at any time from inside the app (Settings → Account → Delete) or by emailing support@emicard.app. We may suspend or terminate your account if you violate these Terms, if your account has been inactive for an extended period (typically more than 24 months), or if we are required to do so by law. Upon termination, Sections 6 (only as to license already-granted before termination — none survives), 7, 11, 12, 13, 14, and 15 survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMICARD DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:
- WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE;
- WARRANTIES OF NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS;
- WARRANTIES THAT ANY DATA STORED IN THE SERVICE WILL BE SECURE OR NOT LOST;
- WARRANTIES THAT ANY CARD NUMBER, BARCODE, DISCOUNT OR REWARD STORED IN THE SERVICE IS ACCURATE OR WILL BE HONORED;
- WARRANTIES THAT THE SERVICE IS COMPATIBLE WITH ANY SPECIFIC iOS, macOS, OR BROWSER VERSION.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EMICARD AND ITS OPERATORS, AFFILIATES, EMPLOYEES, AGENTS AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES — INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST DATA, LOST REWARDS POINTS, LOST DISCOUNTS, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL — REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF EMICARD WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL EMICARD'S AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (a) THE TOTAL AMOUNT YOU PAID TO EMICARD IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) USD 10.00.
Some jurisdictions don't allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply only to the extent permitted by law.
13. Indemnification
You agree to defend, indemnify and hold harmless EmiCard and its operators against any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of: (a) your use of the Service in breach of these Terms; (b) your User Content (including any card data you upload); or (c) your violation of any applicable law or third-party rights.
14. Governing law
These Terms, and any dispute arising out of or relating to these Terms or the Service, are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. Dispute resolution; arbitration; class-action waiver
15.1 Informal resolution first
If you have a dispute with us, please email support@emicard.appwith the subject line "Notice of Dispute" describing the issue and the relief you seek. We agree to try in good faith to resolve the dispute informally for 30 days before either side starts a formal proceeding.
15.2 Binding arbitration
If the dispute isn't resolved within 30 days, you and EmiCard agree to resolve it through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in English, by a single arbitrator, in Delaware (or by video if both parties agree). Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
15.3 Class-action waiver
YOU AND EMICARD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE OR PRIVATE-ATTORNEY-GENERAL ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
15.4 Carve-outs
Either party may bring an individual action in small-claims court if the claim qualifies. Either party may seek injunctive relief in court for actual or threatened infringement of intellectual-property rights.
15.5 Venue for non-arbitrable claims
For any claim that is not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
15.6 30-day right to opt out
You can opt out of Section 15 (arbitration and class-action waiver) within 30 days of first agreeing to these Terms by emailing support@emicard.appwith the subject line "Arbitration Opt-Out".
16. Changes to these Terms
We may modify these Terms from time to time. The "Last updated" date at the top changes when we do. We'll surface material changes through an in-app notice or email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
17. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and EmiCard regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions stay in effect.
- No waiver. Our failure to enforce a right or provision is not a waiver of it.
- Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, sale of assets, or by operation of law.
- No third-party beneficiaries. These Terms create no rights for anyone who is not a party to them.
